Definitions and Explanations<\/strong><\/h4>\n<p class=\"translation-block\">The following terms shall have the meanings assigned to them in the Order:<br>\n\u2022 \"Products\": The products specified in the Order<br>\n\u2022 \"Services\": The services specified in the Order<br>\n\u2022 \"Z ELEKTRONIKA\": The purchaser of the Product\/Service, as identified on the front page of the Order<br>\n\u2022 \"Supplier\": The supplier of the Product\/Service, as identified on the front page of the Order<br>\n\u2022 \"Order\": The contractual terms between the parties<br>\n\u2022 \"INCOTERMS\": The publication of the International Chamber of Commerce in effect at the time of signing and\/or during the validity of the Order<br>\n\u2022 \"Information\": Any knowledge, data, drawing, specification, manual, sample, software, written or verbal communication.<\/p>\n<p class=\"translation-block\">1.1. A jelen \u00c1ltal\u00e1nos Szerz\u0151d\u00e9si Felt\u00e9telek 1. sz. mell\u00e9klet\u00e9t k\u00e9pezi, az SAP rendszerb\u0151l gener\u00e1lt<br>\nMegrendel\u00e9s, a konkr\u00e9t megrendel\u00e9sek, leh\u00edv\u00e1sok \u2013 tov\u00e1bbiakban egy\u00fctt: megrendel\u00e9sek a jelzett<br>\nmegrendel\u0151lap a Z ELEKTRONIKA \u00e1ltal a Sz\u00e1ll\u00edt\u00f3 fel\u00e9 t\u00f6rt\u00e9n\u0151 eljuttat\u00e1s\u00e1val keletkeznek. A Sz\u00e1ll\u00edt\u00f3 a<br>\nMegrendel\u00e9sen egyedileg meghat\u00e1rozott \u00e1r\u00e9rt, az abban megadott mennyis\u00e9g\u0171, fajt\u00e1j\u00fa \u00e9s<br>\nmin\u0151s\u00e9g\u0171 term\u00e9ket\/szolg\u00e1ltat\u00e1st k\u00f6teles \u2013 az elv\u00e1rhat\u00f3 gondoss\u00e1ggal \u00e9s szak\u00e9rtelemmel \u2013<br>\neladni\/ny\u00fajtani a Z ELEKTRONIKA-nak, az ott meghat\u00e1rozott id\u0151ben a Megrendel\u00e9sben<br>\nmeghat\u00e1rozott id\u0151tartamra, helyen, tov\u00e1bb\u00e1 a Megrendel\u00e9sben meghat\u00e1rozott felt\u00e9telekkel<br>\n\u00f6sszhangban, azokat k\u00f6telez\u0151nek elismerve \u00e9s azokhoz alkalmazkodva, ide\u00e9rtve b\u00e1rmely m\u00e1s a<br>\nMegrendel\u00e9sben hivatkozott dokument\u00e1ci\u00f3t (a tov\u00e1bbiakban egy\u00fctt: szerz\u0151d\u00e9si felt\u00e9telek).<br>\n1.2. The Supplier may accept the Order and any modifications by returning an official confirmation email containing any potential remarks within 72 hours of receipt or within a longer period specified by Z ELEKTRONIKA. If the Supplier fulfills any obligation stipulated in the Order within this period, it is considered as acceptance of the Order. Likewise, failure to confirm the Order within 24 hours of receipt shall be considered as acceptance by the Supplier.<br>\n1.3. If there is any discrepancy between the specific terms and the general terms outlined in the Order, the specific terms shall prevail. Any contractual terms differing from the Order shall only be valid with the written (email) consent of Z ELEKTRONIKA. Any modification of contractual terms must be made in writing and agreed upon by both parties.<br>\n1.4. Z ELEKTRONIKA disclaims any liability for the placement or modification of an order for products that do not originate from its duly authorized representative.<\/p>\n<h4><strong>2. Performance<\/strong><\/h4>\n<p class=\"translation-block\">2.1. The delivery of Products\/Services must be carried out at the time, place, quantity, and quality specified in the Order. The order is considered fulfilled only if these requirements are completely met. The Order is valid only for the delivery within the specified deadline and quantity, and any deviation is only possible with the explicit prior oral and\/or written consent of Z ELEKTRONIKA.<br>\n2.2. Ha a sz\u00e1ll\u00edt\u00e1s vagy a teljes\u00edt\u00e9s idej\u00e9re a Megrendel\u00e9sben id\u0151pont nincs meg\u00e1llap\u00edtva, a sz\u00e1ll\u00edt\u00e1s vagy<br>\nteljes\u00edt\u00e9s Z ELEKTRONIKA \u00e1ltal kiadott sz\u00e1ll\u00edt\u00e1si vagy teljes\u00edt\u00e9si \u00fctemtervben meg\u00e1llap\u00edtott id\u0151ben<br>\n\u00e9s mennyis\u00e9gben t\u00f6rt\u00e9nik.<br>\n2.3. Unless otherwise agreed in writing, Z ELEKTRONIKA is not obligated to accept any early or premature delivery or any delivery that deviates from the originally agreed deadline or schedule.<br>\n2.4. If the Supplier fails to fulfill any obligation stated in the Order or performs it inadequately, Z ELEKTRONIKA, at its discretion, is entitled to set an additional deadline for performance or to exercise its rights as defined in sections 4.3 (Quality Control) and\/or 7 (Representation, Warranty, Guarantee) or to terminate the Order, unless the parties agree otherwise in writing.<br>\n2.5. In the case of over-delivery exceeding the quantity specified in the Order, Z ELEKTRONIKA is only obligated to pay for the excess product\/service if it has given prior written consent before performance.<br>\n2.6. The signing of any delivery document by or on behalf of Z ELEKTRONIKA does not constitute acceptance of the quantity and\/or quality of the Products.<br>\n2.7. If the Supplier at any time reasonably assumes that it will be unable to deliver\/perform the Product\/Service within the specified time, it must immediately inform Z ELEKTRONIKA in writing of the cause(s) of the delay. Such notification does not exempt the Supplier from liability for failing to meet the agreed delivery or performance deadline.<br>\n2.8. If the Product delivered by the Supplier is manufactured exclusively for Z ELEKTRONIKA and is not commercially available, the Supplier agrees to negotiate with Z ELEKTRONIKA after the termination of their contractual relationship to ensure the supply of the Product for a mutually agreed period upon Z ELEKTRONIKA\u2019s request.<\/p>\n<h4><strong>3. Product Delivery<\/strong><\/h4>\n<p class=\"translation-block\">3.1. Unless otherwise specified in the Order, the Incoterms apply where the Supplier and Z ELEKTRONIKA are under different jurisdictions.<br>\n3.2. When Incoterms apply, unless otherwise specified, the Supplier shall deliver the Products \"DAP\" to the destination specified in the Order. Where Incoterms are not applied, the Supplier is responsible for transporting the Products to the designated delivery location specified in the Order via the shortest route.<br>\n3.3. Amennyiben a Megrendel\u00e9s m\u00e1sk\u00e9nt nem rendelkezik, a Term\u00e9kek feletti rendelkez\u00e9si jog \u00e9s a<br>\nTerm\u00e9kek tulajdonjoga a Z ELEKTRONIKA-ra a Term\u00e9k teljes kirakod\u00e1s\u00e1t (k\u00e9zbes\u00edt\u00e9s\u00e9t) k\u00f6vet\u0151en<br>\nsz\u00e1ll \u00e1t a teljes\u00edt\u00e9si helyk\u00e9nt megjel\u00f6lt sz\u00e1ll\u00edt\u00e1si c\u00e9l\u00e1llom\u00e1son. A teljes\u00edt\u00e9si helyig t\u00f6rt\u00e9n\u0151 sz\u00e1ll\u00edt\u00e1s<br>\nsor\u00e1n a Term\u00e9kek elvesz\u00e9s\u00e9b\u0151l\/elveszt\u00e9s\u00e9b\u0151l sz\u00e1rmaz\u00f3 kock\u00e1zatot Sz\u00e1ll\u00edt\u00f3 viseli. Ha a Term\u00e9kek<br>\nk\u00e9zbes\u00edt\u00e9se r\u00e9szletekben t\u00f6rt\u00e9nik, a Term\u00e9kek feletti rendelkez\u00e9si jog \u00e9s a Term\u00e9kek tulajdonjoga<br>\nminden egyes r\u00e9szlettel az ugyanezen pontban foglaltaknak megfelel\u0151en sz\u00e1ll \u00e1t.<br>\n3.4. Amennyiben k\u00fcl\u00f6n meg\u00e1llapod\u00e1s alapj\u00e1n a Z ELEKTRONIKA r\u00e9sz\u00e9r\u0151l a fizet\u00e9s el\u0151re t\u00f6rt\u00e9nt, a<br>\nTerm\u00e9k tulajdon- \u00e9s rendelkez\u00e9si joga a fizet\u00e9ssel sz\u00e1ll \u00e1t. R\u00e9szbeni el\u0151re fizet\u00e9s eset\u00e9n minden<br>\nr\u00e9szletfizet\u00e9ssel ar\u00e1nyos m\u00e9rt\u00e9kben sz\u00e1ll \u00e1t Z ELEKTRONIKA-ra a Term\u00e9k feletti tulajdon- \u00e9s<br>\nrendelkez\u00e9si jog. Ezekben az esetekben Sz\u00e1ll\u00edt\u00f3 k\u00f6teles a Term\u00e9kek \u0151rz\u00e9s\u00e9r\u0151l, valamint megfelel\u0151<br>\n\u00e9s teljes k\u00f6r\u0171 biztos\u00edt\u00e1s\u00e1r\u00f3l gondoskodni Z ELEKTRONIKA-nak t\u00f6rt\u00e9n\u0151 \u00e1tad\u00e1sig.<br>\n3.5. A Term\u00e9keket \u00fagy kell csomagolni \u00e9s\/vagy v\u00e9deni, hogy azok a sz\u00e1ll\u00edt\u00e1sra alkalmas \u00e9s v\u00e9dett<br>\n\u00e1llapotban legyenek. Ezek a k\u00f6lts\u00e9gek Sz\u00e1ll\u00edt\u00f3t vagy megb\u00edzottj\u00e1t terhelik. A term\u00e9k darab\/k\u00f6teg<br>\nszerint csomagoland\u00f3 a Z ELEKTRONIKA k\u00e9r\u00e9s\u00e9nek megfelel\u0151en. Minden csomagon fel kell<br>\nt\u00fcntetni a Z ELEKTRONIKA rendel\u00e9si sz\u00e1m\u00e1t, illetve minden csomaghoz mell\u00e9kelni kell haszn\u00e1lati<br>\nutas\u00edt\u00e1st, tov\u00e1bb\u00e1 egy olyan, k\u00f6nnyen hozz\u00e1f\u00e9rhet\u0151 k\u00eds\u00e9r\u0151jegyz\u00e9ket \u00e9s\/vagy sz\u00e1mlam\u00e1solatot,<br>\nmely a csomag tartalm\u00e1t r\u00e9szletezi, \u00e9s megfelel az alkalmazand\u00f3 import\/export szab\u00e1lyoknak. Ha<br>\nSz\u00e1ll\u00edt\u00f3 nem teljes\u00edti a sz\u00e1ll\u00edt\u00e1sra \u00e9s csomagol\u00e1sra vonatkoz\u00f3 el\u0151\u00edr\u00e1sokat, Sz\u00e1ll\u00edt\u00f3 felel\u0151s a hib\u00e1s<br>\nvagy b\u00e1rmilyen m\u00e1s nem megfelel\u0151 csomagol\u00e1s miatt bek\u00f6vetkez\u0151 k\u00e1rok\u00e9rt \u00e9s valamennyi<br>\nkiad\u00e1s\u00e9rt.<br>\n3.6. The Supplier expressly guarantees that the delivered Product is its exclusive, burden-free property, which is transferred entirely free of any claims or encumbrances, especially regarding intellectual property rights, as per the contract between the parties.<br>\n3.7. The Supplier is fully responsible for any environmental damages caused during or arising from the transportation of the Product, including potential spillage losses, leaks, etc.<\/p>\n<h4><strong>4. Inspection and Rejection<\/strong><\/h4>\n<p class=\"translation-block\">4.1. The Supplier is required to establish, equip, and maintain an inspection, testing, and process control system that is acceptable, accessible, and usable for Z ELEKTRONIKA to verify compliance with the Order. However, Z ELEKTRONIKA\u2019s acceptance of this system does not exempt the Supplier from its contractual obligations. Inspection and test records must be retained and provided free of charge upon request until all obligations under the Order are met or for the period required by law.<br>\n4.2. A term\u00e9kek min\u0151s\u00e9g\u00e9t a hozz\u00e1juk hozz\u00e1f\u00e9rhet\u0151v\u00e9 tett, sz\u00fcks\u00e9g eset\u00e9n a sz\u00e1ll\u00edt\u00e1shoz csatolt, a<br>\ngarancia alapj\u00e1t k\u00e9pez\u0151 hivatalos dokument\u00e1ci\u00f3 igazolja. A term\u00e9kek min\u0151s\u00e9g\u00e9\u00e9rt \u00e9s a<br>\nspecifik\u00e1ci\u00f3nak val\u00f3 megfelel\u0151s\u00e9g\u00e9\u00e9rt a Sz\u00e1ll\u00edt\u00f3 teljes m\u00e9rt\u00e9kben \u00e9s k\u00f6zvetlen\u00fcl felel mind a Z<br>\nELEKTRONIKA, mind pedig annak esetleges szerz\u0151d\u00e9ses partnere fel\u00e9. A term\u00e9kek min\u0151s\u00e9g\u00e9t<br>\nigazol\u00f3 a Megrendel\u0151 r\u00e9sz\u00e9re biztos\u00edtott dokument\u00e1ci\u00f3ra tekintettel az \u00e1tad\u00e1s\/\u00e1tv\u00e9tel sor\u00e1n a<br>\nterm\u00e9kek min\u0151s\u00e9g\u00e9t a Z ELEKTRONIKA nem k\u00f6teles ellen\u0151rizni, szerz\u0151d\u00e9ses \u00e9s jogszab\u00e1ly alapj\u00e1n<br>\nfenn\u00e1ll\u00f3 jogosults\u00e1gait ezen ellen\u0151rz\u00e9s elhagy\u00e1sa nem \u00e9rinti. Amennyiben a term\u00e9kek sz\u00e1ll\u00edt\u00e1sa<br>\nel\u0151re csomagolt \u00e1llapotban t\u00f6rt\u00e9nik \u00e9s a csomagol\u00e1s elt\u00e9r a k\u00f6telez\u0151, illetve meg\u00e1llapodott<br>\nutas\u00edt\u00e1sban vagy el\u0151\u00edr\u00e1sban foglaltakt\u00f3l, vagy a csomagol\u00e1s s\u00e9r\u00fclt, \u00fagy ezen hiba, illetve<br>\nhi\u00e1nyoss\u00e1g vagy elt\u00e9r\u00e9s a term\u00e9k min\u0151s\u00e9gi hi\u00e1nyoss\u00e1g\u00e1nak min\u0151s\u00fcl.<br>\n4.3. A 4.2. pontban foglaltak fenntart\u00e1sa mellett a Z ELEKTRONIKA jogosult a sz\u00e1ll\u00edtott term\u00e9k<br>\nmin\u0151s\u00e9g\u00e9nek \u00e9s mennyis\u00e9g\u00e9nek ellen\u0151rz\u00e9s\u00e9re. A megvizsg\u00e1l\u00e1sra \u00e9s tesztel\u00e9sre az \u00e1tad\u00e1st<br>\nk\u00f6vet\u0151en ker\u00fclhet sor<br>\n(a) a Z ELEKTRONIKA telephely\u00e9n, a c\u00e9g \u00e1ltal biztos\u00edtott eszk\u00f6z\u00f6k \u00e9s szakk\u00e9pzett \u00e1llom\u00e1ny<br>\nseg\u00edts\u00e9g\u00e9vel, \u00e9s\/vagy<br>\n(b) k\u00fcls\u0151s szak\u00e9rt\u0151k bevon\u00e1s\u00e1val, mely esetleges, felmer\u00fcl\u0151 k\u00f6lts\u00e9geit a tesztek eredm\u00e9nyeinek<br>\nfigyelembev\u00e9tel\u00e9vel \u00e1llap\u00edtj\u00e1k meg, \u00e9s lesz hib\u00e1s teljes\u00edt\u00e9s eset\u00e9n tov\u00e1bb h\u00e1r\u00edtva a Sz\u00e1ll\u00edt\u00f3<br>\nr\u00e9sz\u00e9re.<br>\n4.4. If any of the Products\/Services fail to meet the requirements of the Order, Z ELEKTRONIKA has the right, after notice, to exercise any of its rights under section 7 or, instead of requiring repair or replacement, to reject and\/or return the Product\/Service at the Supplier\u2019s expense and demand an immediate refund of the amount paid. The Supplier cannot refuse the return of rejected goods.<\/p>\n<h4><strong>5. Compliance<\/strong><\/h4>\n<p>5.1. Sz\u00e1ll\u00edt\u00f3 v\u00e1llalja, hogy a Megrendel\u00e9sb\u0151l ered\u0151 vagy ahhoz kapcsol\u00f3d\u00f3 k\u00f6telezetts\u00e9geinek<br>\nteljes\u00edt\u00e9se sor\u00e1n az \u00e1ltala sz\u00e1ll\u00edtott Term\u00e9kek\/Szolg\u00e1ltat\u00e1sok megfelelnek valamennyi hat\u00e1lyos \u2013 \u00edgy<br>\nk\u00fcl\u00f6n\u00f6sen a k\u00f6rnyezetv\u00e9delemre, csomagol\u00e1sra, term\u00e9kmegjel\u00f6l\u00e9sre, term\u00e9kfelel\u0151ss\u00e9gre \u00e9s<br>\nmin\u0151s\u00e9gre vonatkoz\u00f3 \u2013 jogszab\u00e1lynak, illetve szabv\u00e1nynak, tov\u00e1bb\u00e1 a Megrendel\u00e9s el\u0151lapj\u00e1n<br>\n\u00e9s\/vagy a Megrendel\u00e9s mell\u00e9klet\u00e9ben meghat\u00e1rozott min\u0151s\u00e9gi k\u00f6vetelm\u00e9nyrendszernek.<br>\n5.2. Sz\u00e1ll\u00edt\u00f3 szavatolja, hogy az \u00e1ltala gy\u00e1rtott vagy b\u00e1rmely Term\u00e9k\u00e9ben felhaszn\u00e1lt minden vegyi<br>\nanyag jogszab\u00e1lyilag nem tiltott, \u00e9s megl\u00e9te (ahol ez sz\u00fcks\u00e9ges) vil\u00e1gosan felt\u00fcntet\u00e9sre ker\u00fcl.<br>\n5.3. Sz\u00e1ll\u00edt\u00f3 szavatolja tov\u00e1bb\u00e1, hogy az Term\u00e9kek vagy azok el\u0151\u00edr\u00e1sszer\u0171 haszn\u00e1lata semmilyen<br>\nvesz\u00e9lyt nem jelent az emberi eg\u00e9szs\u00e9gre \u00e9s vagyonbiztons\u00e1gra.<br>\n5.4. Ha a felek a Megrendel\u00e9sben m\u00e1sk\u00e9pp nem \u00e1llapodnak meg, Sz\u00e1ll\u00edt\u00f3 saj\u00e1t k\u00f6lts\u00e9g\u00e9n k\u00f6teles<br>\nbiztos\u00edtani \u00e9s szavatolni valamennyi, a Term\u00e9k\/Szolg\u00e1ltat\u00e1s sz\u00e1ll\u00edt\u00e1s\u00e1hoz,<br>\nexport\u00e1l\u00e1s\u00e1hoz\/import\u00e1l\u00e1s\u00e1hoz sz\u00fcks\u00e9ges enged\u00e9ly megl\u00e9t\u00e9t.<br>\n5.6. Sz\u00e1ll\u00edt\u00f3 k\u00f6teles a Z ELEKTRONIKA-t, illetve annak szerz\u0151d\u00e9ses partner\u00e9t k\u00f6zvetlen\u00fcl k\u00e1rtalan\u00edtani<br>\nminden olyan k\u00e1r, ig\u00e9ny, vesztes\u00e9g, k\u00f6lts\u00e9g ellen, mely t\u00e9nylegesen vagy \u00e1ll\u00edt\u00f3lagosan valamely<br>\nszem\u00e9ly hal\u00e1l\u00e1hoz vagy s\u00e9r\u00fcl\u00e9s\u00e9hez, valamely vagyont\u00e1rgy k\u00e1rosod\u00e1s\u00e1hoz, vagy b\u00e1rmilyen olyan<br>\nk\u00e1rhoz vagy vesztes\u00e9ghez kapcsol\u00f3dik, vagy abb\u00f3l sz\u00e1rmazik, mely eg\u00e9szben vagy r\u00e9szben a<br>\nTerm\u00e9kek\/Szolg\u00e1ltat\u00e1sok t\u00e9nyleges vagy \u00e1ll\u00edt\u00f3lagos hib\u00e1j\u00e1nak vagy a Megrendel\u00e9s szerz\u0151d\u00e9si<br>\nfelt\u00e9telei megszeg\u00e9s\u00e9nek eredm\u00e9nye vagy eredm\u00e9nye lehet. Sz\u00e1ll\u00edt\u00f3 k\u00f6teles gondoskodni<br>\nmindazon biztos\u00edt\u00e1sr\u00f3l (ide\u00e9rtve, ellenkez\u0151 meg\u00e1llapod\u00e1s hi\u00e1ny\u00e1ban korl\u00e1toz\u00e1s n\u00e9lk\u00fcl a<br>\nterm\u00e9kfelel\u0151ss\u00e9gi biztos\u00edt\u00e1st is), amely megfelel\u0151en v\u00e9delmezi Z ELEKTRONIKA-t a k\u00e1rok, ig\u00e9nyek,<br>\nvesztes\u00e9gek, k\u00f6lts\u00e9gek ellen \u00e9s k\u00f6teles azt, Z ELEKTRONIKA k\u00e9r\u00e9s\u00e9re b\u00e1rmikor igazolni.<br>\n5.7. Amennyiben a sz\u00e1ll\u00edtott term\u00e9k tekintet\u00e9ben, illetve azzal, illetve a sz\u00e1ll\u00edt\u00e1s k\u00f6r\u00fclm\u00e9nyeivel<br>\n\u00f6sszef\u00fcgg\u00e9sben a Z ELEKTRONIKA-val szemben b\u00e1rki ig\u00e9nyt k\u00edv\u00e1n \u00e9rv\u00e9nyes\u00edteni, vagy jogi elj\u00e1r\u00e1st<br>\nind\u00edt, \u00fagy a Sz\u00e1ll\u00edt\u00f3 k\u00f6telezi mag\u00e1t, hogy a Z ELEKTRONIKA k\u00e9r\u00e9se alapj\u00e1n minden sz\u00fcks\u00e9ges<br>\nseg\u00edts\u00e9get megad ennek elker\u00fcl\u00e9s\u00e9re. Amennyiben az ig\u00e9ny \u00e9rv\u00e9nyes\u00edt\u00e9s\u00e9re vonatkoz\u00f3<br>\nt\u00e1rgyal\u00e1sok vagy a jogi elj\u00e1r\u00e1s megindul, \u00fagy a Sz\u00e1ll\u00edt\u00f3 k\u00f6teles a Z ELEKTRONIKA mellett a<br>\nt\u00e1rgyal\u00e1sok sor\u00e1n, illetve az elj\u00e1r\u00e1sban fell\u00e9pni, \u00e9s mindent megtenni annak \u00e9rdek\u00e9ben, hogy a Z<br>\nELEKTRONIKA-t az elj\u00e1r\u00e1sb\u00f3l elbocs\u00e1ts\u00e1k. Amennyiben ezt m\u00e9gsem siker\u00fcl el\u00e9rni, vagy a Sz\u00e1ll\u00edt\u00f3<br>\nfenti k\u00f6telezetts\u00e9g\u00e9t nem teljes\u00edti, \u00fagy a Sz\u00e1ll\u00edt\u00f3 a Z ELEKTRONIKA r\u00e9sz\u00e9re k\u00f6teles megt\u00e9r\u00edteni a Z<br>\nELEKTRONIKA-val szemben \u00e9rv\u00e9nyes\u00edtett \u00f6sszeget (bele\u00e9rtve a peren k\u00edv\u00fcli egyezs\u00e9g alapj\u00e1n<br>\nfizetend\u0151 \u00f6sszeget is), valamint a t\u00e1rgyal\u00e1sokkal, illetve per vitel\u00e9vel \u00f6sszef\u00fcgg\u00e9sben a Z<br>\nELEKTRONIKA-n\u00e1l k\u00f6zvetve, vagy k\u00f6zvetlen\u00fcl felmer\u00fclt \u00f6sszes k\u00e1rt \u00e9s k\u00f6lts\u00e9get, bele\u00e9rtve a jogi<br>\nk\u00e9pviselet k\u00f6lts\u00e9g\u00e9t is. A Z ELEKTRONIKA oldal\u00e1r\u00f3l<br>\nfelmer\u00fcl\u0151 \u2013 a Sz\u00e1ll\u00edt\u00f3 \u00e1ltal k\u00f6zvetlen\u00fcl nem teljes\u00edthet\u0151 \u2013 fenti k\u00e1rt, illetve k\u00f6lts\u00e9get a Sz\u00e1ll\u00edt\u00f3 azok<br>\nfelmer\u00fcl\u00e9s\u00e9t\u0151l sz\u00e1m\u00edtott 8 napon bel\u00fcl k\u00f6teles a Z ELEKTRONIKA r\u00e9sz\u00e9re megfizetni. A Sz\u00e1ll\u00edt\u00f3 jelen<br>\n5.7. pont szerinti k\u00f6telezetts\u00e9ge fenn\u00e1ll b\u00e1rmely \u00e9s \u00f6sszes el\u0151fordul\u00f3 k\u00f6vetkezm\u00e9nyi \u00e9s\/vagy<br>\nj\u00e1rul\u00e9kos k\u00e1r\/k\u00f6lts\u00e9g vonatkoz\u00e1s\u00e1ban bele\u00e9rtve, de nem kiz\u00e1r\u00f3lagosan a szerz\u0151d\u00e9sen k\u00edv\u00fcl<br>\nokozott, valamint b\u00e1rmely term\u00e9kvisszah\u00edv\u00e1s miatt bek\u00f6vetkez\u0151 k\u00e1rokat is, f\u00fcggetlen\u00fcl att\u00f3l, hogy<br>\naz adott Term\u00e9k\/Szolg\u00e1ltat\u00e1s id\u0151k\u00f6zben m\u00e1s term\u00e9kbe be\u00e9p\u00edt\u00e9sre ker\u00fclt, felt\u00e9ve, hogy a k\u00e9rd\u00e9ses<br>\nk\u00e1r a Term\u00e9k\/Szolg\u00e1ltat\u00e1s fogyat\u00e9koss\u00e1g\u00e1nak, illetve t\u00f6k\u00e9letlens\u00e9g\u00e9nek k\u00f6zvetlen k\u00f6vetkezm\u00e9nye.<\/p>\n<h4><strong>6. Price, Payment, Payment Guarantees, Financing<\/strong><\/h4>\n<p class=\"translation-block\">6.1. The prices established in the Order are fixed and final but do not include value-added tax (VAT) or any other similar tax or duty, which shall be paid by Z ELEKTRONIKA upon receipt of a valid invoice specifying these charges in detail. The prices must include any other form of sales or consumption tax and\/or import duties that the Supplier directly pays unless the Order explicitly states otherwise. If, for any reason, Z ELEKTRONIKA has paid any of these, the Supplier must promptly reimburse Z ELEKTRONIKA upon request. The prices include all costs incurred by the Supplier in fulfilling the Order.<br>\n6.2. Unless otherwise agreed, an invoice may only be issued once all Products\/Services have been delivered\/performed in accordance with the Order.<br>\n6.3. The invoice must always fully comply with applicable laws and the agreement between the parties. Z ELEKTRONIKA will only accept and pay invoices that fully meet these requirements. Incomplete or irregular invoices may be returned by Z ELEKTRONIKA to the Supplier. The extended payment deadline resulting from such deficiencies shall not impose any late payment obligations on Z ELEKTRONIKA.<br>\n6.4. In case of late delivery, Z ELEKTRONIKA will notify the Supplier in writing of the delay. If no substantive response is received or delivery is not completed within five (5) business days, Z ELEKTRONIKA is entitled to reduce the invoice amount by a penalty of 1% per day of the net invoice amount. In the case of defective performance, the penalty is 25% of the net invoice amount. The penalty may be deducted from the given invoice or any other outstanding amount owed to the Supplier, with simultaneous written notification. If deduction is not possible, the Supplier must pay the penalty to Z ELEKTRONIKA within eight (8) days.<br>\n6.5. Unless otherwise specified on the front page of the Order, payment shall be made within thirty (30) days following the receipt of a valid tax-compliant invoice.<br>\n6.6. The date of settlement of the invoice corresponds to the date when Z ELEKTRONIKA\u2019s bank account is debited with the amount payable to the Supplier.<br>\n6.7. If the Supplier unilaterally deviates from any point of the Order to the detriment of Z ELEKTRONIKA, Z ELEKTRONIKA is entitled to refuse payment, in whole or in part, depending on the circumstances, without incurring any delay in payment obligations.<br>\n6.8. The Supplier undertakes that the price of the Product\/Service specified on the front page of the Order under section 6.1. is not less favorable than the price it offers to any other market participant for identical quantities, quality, and type of Product\/Service under the same purchase conditions at the time of signing or entry into force of the Order and at the time of actual performance. If the Supplier breaches this obligation or lowers its prices for others, it must grant the same reduction to Z ELEKTRONIKA, which Z ELEKTRONIKA may enforce upon payment or reclaim from the Supplier. The Supplier must fulfill Z ELEKTRONIKA\u2019s request within eight (8) days of receipt.<br>\n6.9. A Megrendel\u00e9snek megfelel\u0151en lesz\u00e1ll\u00edtott\/teljes\u00edtett Term\u00e9k\/Szolg\u00e1ltat\u00e1s \u00e1r\u00e1nak megfizet\u00e9se<br>\nnem jelenti az adott Term\u00e9k\/Szolg\u00e1ltat\u00e1s Z ELEKTRONIKA \u00e1ltali elfogad\u00e1s\u00e1t, \u00e9s b\u00e1rmely fizet\u00e9s Z<br>\nELEKTRONIKA mindazon jogai fenntart\u00e1s\u00e1val t\u00f6rt\u00e9nik, melyek Sz\u00e1ll\u00edt\u00f3 hib\u00e1s teljes\u00edt\u00e9s\u00e9vel (ide\u00e9rtve,<br>\nkorl\u00e1toz\u00e1s n\u00e9lk\u00fcl a Term\u00e9knek\/Szolg\u00e1ltat\u00e1snak Z ELEKTRONIKA \u00e1ltal nem ismert ny\u00edlt hib\u00e1j\u00e1t) vagy<br>\negy\u00e9b szerz\u0151d\u00e9sszeg\u00e9s\u00e9vel kapcsolatosak.<br>\n6.10. Unless otherwise agreed, Z ELEKTRONIKA is not obligated to provide advance financing for the manufacturing of products, either in the form of an advance payment or any other form.<\/p>\n<h4><strong>7. Representation, Warranty, Guarantee<\/strong><\/h4>\n<p class=\"translation-block\">7.1. The Supplier warrants that: (a) It is legally registered and operates as a legally existing company under the laws of its state of incorporation and is not subject to liquidation, dissolution, bankruptcy, or any similar proceedings. (b) It has all necessary authorizations to fulfill the Order and comply with its obligations and will promptly undertake all internal company procedures and other necessary authorizations for the full and immediate fulfillment of the above. (c) The Order is properly and accurately executed and creates a legally valid, binding, and enforceable Supplier obligation in accordance with its terms. (d) It has all necessary authorizations and permits from competent representatives to execute the Order. (e) It shall notify Z ELEKTRONIKA if it becomes subject to liquidation, dissolution, bankruptcy, or similar proceedings or initiates dissolution proceedings against itself. (f) The execution and intended fulfillment of the Order: - f.1. does not conflict with the Supplier\u2019s corporate documents, - f.2. does not violate any contracts in which the Supplier is a party. (g) It will notify Z ELEKTRONIKA within a reasonable time if there is a significant change in its ownership structure. (h) It will notify Z ELEKTRONIKA within a reasonable time if there is a significant change in its management.<br>\n7.2. Sz\u00e1ll\u00edt\u00f3 kifejezetten szavatol az\u00e9rt, hogy a Megrendel\u00e9s, valamint a sz\u00e1ll\u00edt\u00e1s\/teljes\u00edt\u00e9s id\u0151pontj\u00e1ban<br>\nvalamennyi Term\u00e9k\/Szolg\u00e1ltat\u00e1s<br>\n(a) megfelel a Megrendel\u00e9sben el\u0151\u00edrt valamennyi k\u00f6vetelm\u00e9nynek, tov\u00e1bb\u00e1 olyan<br>\nk\u00f6vetelm\u00e9nyeknek, specifik\u00e1ci\u00f3nak, felt\u00e9telnek, rajznak, tervnek, k\u00fcls\u0151 form\u00e1nak, el\u0151\u00edr\u00e1snak,<br>\nmint\u00e1nak vagy m\u00e1s le\u00edr\u00e1snak \u00e9s adatnak, melyet ak\u00e1r Z ELEKTRONIKA vagy nev\u00e9ben m\u00e1s, ak\u00e1r<br>\nSz\u00e1ll\u00edt\u00f3 vagy nev\u00e9ben elj\u00e1r\u00f3 k\u00e9pvisel\u0151je bocs\u00e1t rendelkez\u00e9sre,<br>\n(b) \u00faj lesz \u00e9s eladhat\u00f3,<br>\n(c) els\u0151 oszt\u00e1ly\u00fa anyag\u00fa, kivitel\u0171, valamint hib\u00e1kt\u00f3l (ny\u00edlt \u00e9s rejtett) mentes lesz,<br>\n(d) megfelel \u00e9s kiel\u00e9g\u00edt\u0151 azon c\u00e9l(ok)ra, amely(ek)re gy\u00e1rtott\u00e1k \u00e9s eladt\u00e1k, amelyre Z<br>\nELEKTRONIKA a Term\u00e9ket\/Szolg\u00e1ltat\u00e1st fogja haszn\u00e1lni, ide\u00e9rtve azon speci\u00e1lis c\u00e9lokat is,<br>\namelyekr\u0151l Sz\u00e1ll\u00edt\u00f3 tudom\u00e1ssal b\u00edr vagy tudnia kell.<br>\n(e) t\u00f6rv\u00e9nyes jogc\u00edmmel ker\u00fcl tulajdonba.<br>\n(f) mentes lesz harmadik szem\u00e9ly b\u00e1rmilyen term\u00e9szet\u0171 ig\u00e9ny\u00e9t\u0151l vagy jog\u00e1t\u00f3l (ide\u00e9rtve,<br>\nkorl\u00e1toz\u00e1s n\u00e9lk\u00fcl b\u00e1rmilyen szabadalmat vagy m\u00e1s szellemi tulajdonhoz kapcsol\u00f3d\u00f3, illetve<br>\negy\u00e9b jogot, ahogyan a Megrendel\u00e9s ezt el\u0151\u00edrja).<br>\n7.3. A 7.1. \u00e9s 7.2 pontban meghat\u00e1rozott szavatoss\u00e1gi jogok Z ELEKTRONIKA vizsg\u00e1lat\u00e1t\u00f3l vagy ennek<br>\nelmarad\u00e1s\u00e1t\u00f3l, valamint a Term\u00e9k\/Szolg\u00e1ltat\u00e1s elfogad\u00e1s\u00e1t\u00f3l \u00e9s haszn\u00e1lat\u00e1t\u00f3l f\u00fcggetlen\u00fcl tov\u00e1bb<br>\n\u00e9lnek, \u00e9s Z ELEKTRONIKA \u00e1ltal vagy nev\u00e9ben b\u00e1rmilyen sz\u00e1ll\u00edt\u00e1si jegyz\u00e9ken szerepl\u0151 al\u00e1\u00edr\u00e1s nem<br>\njelenti sem a Term\u00e9kek\/Szolg\u00e1ltat\u00e1sok min\u0151s\u00e9g\u00e9nek elfogad\u00e1s\u00e1t, sem annak tan\u00fas\u00edt\u00e1s\u00e1t, hogy<br>\nezen szavatoss\u00e1gi jogokat nem s\u00e9rtett\u00e9k meg.<br>\n7.4. Sz\u00e1ll\u00edt\u00f3 \u00e1ltal a 7.1. \u00e9s 7.2 pontban \u00e9s a Megrendel\u00e9sben b\u00e1rhol v\u00e1llalt szavatoss\u00e1gi jogok \u00e1tsz\u00e1llnak<br>\nZ ELEKTRONIKA engedm\u00e9nyeseire, jogut\u00f3djaira, fogyaszt\u00f3ira \u00e9s azokra, akik a<br>\nTerm\u00e9kek\/Szolg\u00e1ltat\u00e1sok b\u00e1rmelyik\u00e9t haszn\u00e1lj\u00e1k, vagy olyan term\u00e9ket haszn\u00e1lnak, mely mag\u00e1ban<br>\nfoglalja a Z ELEKTRONIKA \u00e1ltal eladott b\u00e1rmilyen Term\u00e9ket\/Szolg\u00e1ltat\u00e1st.<br>\n7.5. Upon written notification from Z ELEKTRONIKA, the Supplier must promptly, at its own expense: (a) Fully repair any defective Products\/Services that do not meet the requirements of Sections 5 and 7.2 or the warranty obligations outlined in the Order; or (b) Replace the Product\/Service, at Z ELEKTRONIKA\u2019s discretion.<br>\n7.6. If the Supplier does not repair or replace the defective or non-conforming Product\/Service within 14 days of Z ELEKTRONIKA\u2019s request, or if immediate action is required for safety reasons, Z ELEKTRONIKA may, without prior notice, carry out the repair\/replacement itself or engage a third party to do so. The Supplier must immediately reimburse Z ELEKTRONIKA for any costs incurred upon request.<br>\n7.7. A 7. pontban meghat\u00e1rozott szavatoss\u00e1gi jogok \u00e9s ig\u00e9ny\u00e9rv\u00e9nyes\u00edt\u00e9si lehet\u0151s\u00e9gek kieg\u00e9sz\u00edtik<br>\nazokat, melyek a Megrendel\u00e9s r\u00e9sz\u00e9t k\u00e9pezik, vagy melyeket Sz\u00e1ll\u00edt\u00f3 m\u00e1s form\u00e1ban biztos\u00edt a Z<br>\nELEKTRONIKA-nak, vagy melyeket jogszab\u00e1ly \u00edr el\u0151.<br>\n7.8. The Supplier guarantees the delivered products according to the terms set forth in Annex 2 of these conditions. The warranty period begins when the finished product containing the Supplier\u2019s delivered product is first commercially distributed.<\/p>\n<h4>8<strong>. Supplier\u2019s Employees and Work Performed on Z ELEKTRONIKA\u2019s Premises<\/strong><\/h4>\n<p class=\"translation-block\">8.1. The Supplier\u2019s employees shall not be considered employees or agents of Z ELEKTRONIKA in any respect, nor shall they be entitled to receive or benefit from any privileges or advantages provided by Z ELEKTRONIKA to its own employees in connection with the contractual relationship established under the Order.<br>\n8.2. All employees designated to fulfill the Supplier\u2019s obligations under the Order shall be directed by the Supplier. However, Z ELEKTRONIKA shall have the right to issue instructions to them while they are working on Z ELEKTRONIKA\u2019s premises. (Under no circumstances shall the signed and confirmed Order be considered or interpreted as a permit from Z ELEKTRONIKA allowing the Supplier to use Z ELEKTRONIKA\u2019s resources, facilities, or enter its premises. Any such authorization shall be granted by Z ELEKTRONIKA solely based on its independent terms and conditions.)<br>\n8.3. The Supplier is obligated to employ workers who possess the necessary qualifications, professional suitability, expected conduct, and adequate life, health, accident, and\/or social insurance, as well as fully comply with all legal requirements during the performance of the Order.<br>\n8.4. The Supplier shall ensure that its employees are familiar with and comply with all legally prescribed and Supplier- and Z ELEKTRONIKA-imposed health, safety, and environmental regulations. The Supplier shall be directly and fully liable for any damages resulting from non-compliance with these obligations towards Z ELEKTRONIKA and third parties.<br>\n8.5. Z ELEKTRONIKA shall be entitled at any time to demand the removal of any employee of the Supplier whose performance it deems unsatisfactory or who refuses to comply with Z ELEKTRONIKA\u2019s instructions.<br>\n8.6. The Supplier agrees to immediately provide an adequately trained and qualified replacement for any employee who is unavailable for any reason. If the replacement workforce does not meet the requirements specified in Section 8.3, Z ELEKTRONIKA reserves the right to terminate the Order in accordance with Section 13.<br>\n8.7. The Supplier shall compensate Z ELEKTRONIKA for all damages and costs incurred as a result of the actions or omissions of the Supplier\u2019s employees, subcontractors, or other representatives, in accordance with the provisions of the Civil Code. To cover such liabilities, the Supplier shall maintain appropriate insurance coverage related to its activities and assets associated with fulfilling the Order and shall provide proof of such insurance to Z ELEKTRONIKA upon request.<\/p>\n<h4><strong>9. Ownership of Z ELEKTRONIKA<\/strong><\/h4>\n<p class=\"translation-block\">9.1. Amennyiben felek \u00edr\u00e1sban m\u00e1sk\u00e9pp nem \u00e1llapodnak meg, a Z ELEKTRONIKA tulajdon\u00e1t k\u00e9pezi \u00e9s<br>\naz is marad mindv\u00e9gig minden adat, rajz, term\u00e9k, eszk\u00f6z, felszerel\u00e9s, anyag vagy b\u00e1rmilyen<br>\nvagyont\u00e1rgy, tov\u00e1bb\u00e1 ezeket helyettes\u00edt\u0151 vagy b\u00e1rmilyen ezekhez k\u00f6t\u0151d\u0151 vagy kapcsolt b\u00e1rmilyen<br>\ndolog, melyet a Z ELEKTRONIKA vagy nev\u00e9ben megb\u00edzottja a Sz\u00e1ll\u00edt\u00f3 haszn\u00e1lat\u00e1ba ad, ide\u00e9rve azt<br>\naz esetet is, ha ezek\u00e9rt a Z ELEKTRONIKA vagy megb\u00edzottja k\u00fcl\u00f6n fizet (a tov\u00e1bbiakban mindez<br>\negy\u00fctt: Z ELEKTRONIKA Tulajdona).<br>\n9.2. Z ELEKTRONIKA Property\u2014and, where applicable, its individual items\u2014shall be clearly labeled as \u201cProperty of Z ELEKTRONIKA.\u201d The Supplier shall be responsible for the secure storage of Z ELEKTRONIKA Property and for keeping it separate from the property of the Supplier or any third party.<br>\n9.3. A Sz\u00e1ll\u00edt\u00f3 semmilyen vagyont\u00e1rgyat nem helyettes\u00edthet a Z ELEKTRONIKA Tulajdon\u00e1val, \u00e9s ilyet nem<br>\nis haszn\u00e1lhat m\u00e1s c\u00e9lra, mint a Megrendel\u00e9s teljes\u00edt\u00e9s\u00e9re.<br>\n9.4. The Supplier shall be responsible for Z ELEKTRONIKA Property while it is in the Supplier\u2019s custody or under its control and shall ensure, at its own expense, that it is insured for an amount corresponding to its replacement cost. Upon written request, Z ELEKTRONIKA Property shall be returned to Z ELEKTRONIKA at the Supplier\u2019s expense in the same condition in which it was originally received, except for normal wear and tear.<br>\n9.5. Z ELEKTRONIKA reserves the right to reclaim possession of its Property. To this end, the Supplier guarantees and grants permission for Z ELEKTRONIKA or its representatives to enter any premises or facilities of the Supplier, or any premises used by the Supplier for such purposes. This right remains valid even if the Order is terminated for any reason.<\/p>\n<h4><strong>10. Supplier Information<\/strong><\/h4>\n<p class=\"translation-block\">10.1. Z ELEKTRONIKA acquires, without restriction, any Information used and\/or provided by the Supplier for the fulfillment of the Order, unless Z ELEKTRONIKA states otherwise in writing or the parties agree otherwise. The compensation for the acquisition is considered included in the price of the Product\/Service to be performed under the Order.<br>\n10.2. The Supplier declares that it has full and unrestricted rights to disclose any Information to Z ELEKTRONIKA without infringing the rights of others and that Z ELEKTRONIKA has full and unrestricted discretion regarding the use and publication of such Information. This right is limited only by intellectual property rights.<br>\n10.3. The Supplier is obligated to indemnify and hold Z ELEKTRONIKA harmless from any costs and damages arising from the inaccuracy of the Information provided by or on behalf of the Supplier, which Z ELEKTRONIKA relied upon.<\/p>\n<h4><strong>11. Z ELEKTRONIKA Information<\/strong><\/h4>\n<p class=\"translation-block\">11.1. The Supplier is required to treat as confidential any Information provided by Z ELEKTRONIKA in connection with the Order or created for Z ELEKTRONIKA for 10 years following the fulfillment or termination of the Order. The Supplier may not disclose or use such Information in any way, directly or indirectly, without the prior written consent of Z ELEKTRONIKA. The Supplier may only disclose such Information to its employees to the extent necessary to fulfill the obligations arising from the Order.<br>\n11.2. Apart from what is required for the effective execution of the Order, the Supplier shall not make or allow copies of the Information without prior written consent from Z ELEKTRONIKA. The Information remains the property of Z ELEKTRONIKA and, if requested, must be returned to Z ELEKTRONIKA without compensation.<br>\n11.3. Intellectual Property<\/strong><\/h4>\n<p>12.1. A Sz\u00e1ll\u00edt\u00f3 a Z ELEKTRONIKA k\u00e9r\u00e9s\u00e9re, saj\u00e1t k\u00f6lts\u00e9g\u00e9n elh\u00e1r\u00edt b\u00e1rmely ig\u00e9nyt, pert vagy elj\u00e1r\u00e1st,<br>\nmelyet Z ELEKTRONIKA \u00e9s\/vagy b\u00e1rmely fogyaszt\u00f3ja ellen ind\u00edtanak (vagy amelyr\u0151l Z ELEKTRONIKA<br>\nokkal meg van gy\u0151z\u0151dve, hogy ind\u00edtani fognak), mely azon ig\u00e9nyen alapul, miszerint valamely<br>\nterm\u00e9k, darab vagy szerkezet vagy ezek egy r\u00e9sze, a Term\u00e9k r\u00e9szek\u00e9nt, ugyancsak b\u00e1rmely eszk\u00f6z<br>\nvagy folyamat, mely ezek haszn\u00e1lat\u00e1nak a k\u00f6vetkezm\u00e9nye vagy b\u00e1rmely Szolg\u00e1ltat\u00e1s (egy\u00fctt:<br>\nDolog\/Tev\u00e9kenys\u00e9g) megval\u00f3s\u00edtja vagy megval\u00f3s\u00edtani l\u00e1tszik valamely szellemi alkot\u00e1shoz f\u0171z\u0151d\u0151<br>\njog megs\u00e9rt\u00e9s\u00e9t. F\u00fcggetlen\u00fcl att\u00f3l, hogy Sz\u00e1ll\u00edt\u00f3 elh\u00e1r\u00edtja-e a pert, vagy az elj\u00e1r\u00e1st, Sz\u00e1ll\u00edt\u00f3, az<br>\nesett\u0151l f\u00fcgg\u0151en, viselni fogja \u00e9s felel\u0151s minden k\u00e1r\u00e9rt, k\u00f6lts\u00e9g\u00e9rt \u00e9s kiad\u00e1s\u00e9rt ezen perek vagy<br>\nelj\u00e1r\u00e1sok tekintet\u00e9ben, vagy melyek ilyen val\u00f3s vagy v\u00e9lt jogs\u00e9rt\u00e9s eset\u00e9n egy\u00e9bk\u00e9nt felmer\u00fclnek.<br>\n12.2. Abban az esetben, ha a Dolog haszn\u00e1lata \u00e9s\/vagy a Tev\u00e9kenys\u00e9g tiltott vagy m\u00e1sk\u00e9ppen<br>\nakad\u00e1lyozott, vagy a jogs\u00e9rt\u00e9s t\u00e9ny\u00e9t \u00e1ll\u00edtj\u00e1k vagy azzal fenyegetnek, Sz\u00e1ll\u00edt\u00f3, saj\u00e1t k\u00f6lts\u00e9g\u00e9re, a Z<br>\nELEKTRONIKA \u00e9s\/vagy b\u00e1rmely szerz\u0151d\u00e9ses partnere\/fogyaszt\u00f3ja v\u00e1laszt\u00e1sa szerint<br>\n(a) megszerzi a jogot arra, hogy a Dolgot Z ELEKTRONIKA tov\u00e1bb haszn\u00e1lja\/Tev\u00e9kenys\u00e9get<br>\nfolytassa, vagy<br>\n(b) egy olyannal cser\u00e9li ki, mely a Z ELEKTRONIKA-nak megfelel \u00e9s nem jogs\u00e9rt\u0151 vagy haszn\u00e1lat\u00e1ban<br>\nkorl\u00e1tozott, vagy<br>\n(c) elt\u00e1vol\u00edtja a Dolgot, illetve abbahagyja a Tev\u00e9kenys\u00e9get \u00e9s megt\u00e9r\u00edti a Z ELEKTRONIKA-nak a<br>\nDolog\/Tev\u00e9kenys\u00e9g teljes v\u00e9tel\u00e1r\u00e1t \u00e9s azon k\u00f6lts\u00e9geit, melyek e vonatkoz\u00e1sban mer\u00fclnek fel.<br>\n12.3. Sz\u00e1ll\u00edt\u00f3 v\u00e1llalja \u00e9s kijelenti, hogy<br>\n(a) Z ELEKTRONIKA-val \u00edr\u00e1sban \u00e9s teljesk\u00f6r\u0171en kommunik\u00e1l minden tal\u00e1lm\u00e1nyra, \u00faj\u00edt\u00e1sra,<br>\nprogramra, know-how-ra \u00e9s technik\u00e1ra vonatkoz\u00f3an, melyet \u0151 hozott l\u00e9tre vagy tal\u00e1lt fel<br>\n(f\u00fcggetlen\u00fcl att\u00f3l, hogy az szabadalmaztathat\u00f3-e vagy sem, szerz\u0151i jog szerint v\u00e9dhet\u0151-e vagy<br>\nsem, egyed\u00fcl vagy m\u00e1sokkal k\u00e9sz\u00edtette-e vagy sem, ide\u00e9rtve a min\u0151s\u00e9gjav\u00edt\u00e1st \u00e9s a m\u00f3dos\u00edt\u00e1st<br>\nis), \u00e9s a Megrendel\u00e9s teljes\u00edt\u00e9s\u00e9vel kapcsolatban j\u00f6tt l\u00e9tre, vagy ker\u00fclt fejleszt\u00e9sre.<br>\n(b) ilyen tal\u00e1lm\u00e1nyok, \u00faj\u00edt\u00e1sok, programok, know-how-ok \u00e9s technik\u00e1k tulajdonjoga, f\u00fcggetlen\u00fcl<br>\natt\u00f3l, hogy dokument\u00e1ltak-e vagy sem, egyed\u00fcl \u00e9s kiz\u00e1r\u00f3lag a Z ELEKTRONIKA-\u00e9, \u00e9s \u00fagy<br>\ntekintend\u0151k, mint amelyeket Sz\u00e1ll\u00edt\u00f3 Z ELEKTRONIKA, mint egyetlen tulajdonos sz\u00e1m\u00e1ra vagy<br>\nnev\u00e9ben b\u00e1rmilyen ellen\u00e9rt\u00e9k n\u00e9lk\u00fcl k\u00e9sz\u00edtett.<br>\n(c) minden jog, jogc\u00edm \u00e9s \u00e9rdek, mely a programokban, rendszerekben, Inform\u00e1ci\u00f3ban,<br>\nanyagokban \u00e9s b\u00e1rmely m\u00e1s felszerel\u00e9sben, illetve tulajdonban, valamint ezekhez<br>\nkapcsol\u00f3d\u00f3an jelentkezik, \u00e9s a Sz\u00e1ll\u00edt\u00f3 sz\u00e1m\u00e1ra a Z ELEKTRONIKA \u00e1ltal vagy nev\u00e9ben biztos\u00edtott<br>\nvagy ny\u00fajtott, a Z ELEKTRONIKA tulajdon\u00e1ban marad \u00e9s visszasz\u00e1ll a Z ELEKTRONIKA-ra a<br>\nMegrendel\u00e9s megsz\u0171n\u00e9sekor. Sz\u00e1ll\u00edt\u00f3 sz\u00e1m\u00e1ra vagy \u00e1ltal a Megrendel\u00e9s teljes\u00edt\u00e9s\u00e9vel<br>\nkapcsolatban k\u00e9sz\u00edtett szoftver Z ELEKTRONIKA el\u0151zetes, kifejezett \u00edr\u00e1sbeli hozz\u00e1j\u00e1rul\u00e1sa n\u00e9lk\u00fcl<br>\nZ ELEKTRONIKA helyis\u00e9geib\u0151l nem vihet\u0151 ki.<br>\n(d) a Megrendel\u00e9s hat\u00e1lya alatt \u00e9s azt k\u00f6vet\u0151en (teljes eg\u00e9sz\u00e9ben Z ELEKTRONIKA k\u00f6lts\u00e9g\u00e9re)<br>\nminden m\u00f3don seg\u00edteni fogja a Z ELEKTRONIKA-t, hogy az saj\u00e1t jav\u00e1ra megszerezzen \u00e9s\/vagy<br>\nbiztos\u00edtson szabadalmakat, szerz\u0151i jogot \u00e9s\/vagy kereskedelmi titokv\u00e9delmet a tal\u00e1lm\u00e1nyok,<br>\n\u00faj\u00edt\u00e1sok, programok, know-how-ok \u00e9s technik\u00e1k sz\u00e1m\u00e1ra, f\u00fcggetlen\u00fcl att\u00f3l, hogy azok<br>\ndokument\u00e1ltak-e vagy sem, a vil\u00e1g minden orsz\u00e1g\u00e1ban ide\u00e9rtve, korl\u00e1toz\u00e1s n\u00e9lk\u00fcl \u00e1truh\u00e1z\u00e1si<br>\ndokumentumok \u00e9rv\u00e9nyes\u00edt\u00e9s\u00e9t, vagy szerz\u0151i jogi nyilv\u00e1ntart\u00e1sba v\u00e9tel\u00e9t, vagy b\u00e1rmilyen m\u00e1s<br>\nszellemi alkot\u00e1ssal kapcsolatos jogot, melyet a Z ELEKTRONIKA k\u00e9r.<br>\n(e) megfelel\u0151 \u00e9s folyamatos nyilv\u00e1ntart\u00e1st vezet \u00e9s tart fenn minden ilyen tal\u00e1lm\u00e1nyr\u00f3l, \u00faj\u00edt\u00e1sr\u00f3l,<br>\nprogramr\u00f3l, know-how-r\u00f3l \u00e9s technik\u00e1r\u00f3l, jegyzetek, v\u00e1zlatok, rajzok, \u00e1br\u00e1k, forr\u00e1sk\u00f3dok vagy<br>\njelent\u00e9sek form\u00e1j\u00e1ban, melyek mindenkor el\u00e9rhet\u0151k a Z ELEKTRONIKA sz\u00e1m\u00e1ra. K\u00e9r\u00e9sre Sz\u00e1ll\u00edt\u00f3<br>\nezeket a nyilv\u00e1ntart\u00e1sokat tov\u00e1bb\u00edtja a Z ELEKTRONIKA-nak.<br>\n12.4. Sz\u00e1ll\u00edt\u00f3 szavatolja, hogy nem tulajdonosa semmilyen olyan szerz\u0151i jognak vagy b\u00e1rmilyen titoknak,<br>\nilletve nem feltal\u00e1l\u00f3ja vagy tulajdonosa szabadalomnak, tov\u00e1bb\u00e1 nem tulajdonosa olyan<br>\nszabadalmi vagy tal\u00e1lm\u00e1nyi bejelent\u00e9snek, mely h\u00e1tr\u00e1ltatn\u00e1 vagy korl\u00e1tozn\u00e1 a Z ELEKTRONIKA<br>\nszabads\u00e1g\u00e1t a tekintetben, hogy a Megrendel\u00e9s alapj\u00e1n megv\u00e1s\u00e1rolt Term\u00e9ket\/Szolg\u00e1ltat\u00e1st<br>\nhaszn\u00e1lja. A Megrendel\u00e9s teljes\u00edt\u00e9se el\u0151tt m\u00e1r Sz\u00e1ll\u00edt\u00f3 tulajdon\u00e1t k\u00e9pez\u0151 programok, rendszerek,<br>\nadatok, rajzok vagy mindaz, ami ezekhez kapcsol\u00f3dik \u00e9s melyeket Sz\u00e1ll\u00edt\u00f3 a Megrendel\u00e9s<br>\nteljes\u00edt\u00e9s\u00e9hez felhaszn\u00e1l, Sz\u00e1ll\u00edt\u00f3 kiz\u00e1r\u00f3lagos tulajdon\u00e1ban maradnak.<\/p>\n<h4><strong>13. Termination<\/strong><\/h4>\n<p class=\"translation-block\">13.1. Withdrawal<br>\n13.1.1. Z ELEKTRONIKA Sz\u00e1ll\u00edt\u00f3hoz int\u00e9zett \u00edr\u00e1sbeli felsz\u00f3l\u00edt\u00e1ssal, a k\u00f6vetkez\u0151 esetek b\u00e1rmelyik\u00e9nek<br>\nfelmer\u00fcl\u00e9sekor jogosult el\u00e1ll\u00e1si jog\u00e1t gyakorolni:<br>\n(a) Sz\u00e1ll\u00edt\u00f3 nem a Megrendel\u00e9s vagy jogszab\u00e1ly \u00e1ltal el\u0151\u00edrt k\u00f6vetelm\u00e9nyeknek megfelel\u0151en teljes\u00edti<br>\na Megrendel\u00e9st.<br>\n(b) Sz\u00e1ll\u00edt\u00f3 elmulasztja a Megrendel\u00e9s szerinti teljes\u00edt\u00e9st.<br>\n(c) a Felt\u00e9telek 14. pontj\u00e1ban eml\u00edtett b\u00e1rmely esem\u00e9ny felmer\u00fcl, valamint (d) Sz\u00e1ll\u00edt\u00f3 megsz\u0171nteti<br>\na k\u00edv\u00e1nt, illetve Z ELEKTRONIKA \u00e1ltal rendelt term\u00e9k gy\u00e1rt\u00e1s\u00e1t, vagy ha a Sz\u00e1ll\u00edt\u00f3 tev\u00e9kenys\u00e9g\u00e9vel<br>\nfelhagy;<br>\n(d) jogszab\u00e1ly azt megengedi.<br>\n13.1.2. Z ELEKTRONIKA, el\u00e1ll\u00e1sa eset\u00e9n \u2013 an\u00e9lk\u00fcl, hogy a sz\u00e1m\u00e1ra biztos\u00edtott b\u00e1rmely jogszab\u00e1lyi vagy egy\u00e9b<br>\nig\u00e9ny\u00e9rv\u00e9nyes\u00edt\u00e9si lehet\u0151s\u00e9g\u00e9t ez \u00e9rinten\u00e9 \u2013 a k\u00f6vetkez\u0151 jogaival \u00e9lhet:<br>\n(a) joga van visszautas\u00edtani a Megrendel\u00e9s alapj\u00e1n elk\u00e9sz\u00fclt Term\u00e9k\/Szolg\u00e1ltat\u00e1s sz\u00e1ll\u00edt\u00e1s\u00e1t vagy<br>\nteljes\u00edt\u00e9s\u00e9t, vagy<br>\n(b) Sz\u00e1ll\u00edt\u00f3 kock\u00e1zat\u00e1ra \u00e9s k\u00f6lts\u00e9g\u00e9re joga van visszasz\u00e1ll\u00edttatni b\u00e1rmely m\u00e1r elfogadott Term\u00e9ket,<br>\n\u00e9s jogosult azonnali megt\u00e9r\u00edt\u00e9st k\u00f6vetelni Sz\u00e1ll\u00edt\u00f3t\u00f3l azon kifizet\u00e9sek tekintet\u00e9ben, melyeket az<br>\nilyen Term\u00e9kre ford\u00edtott (ide\u00e9rtve a sz\u00e1ll\u00edtm\u00e1nyoz\u00e1si, t\u00e1rol\u00e1si, rakod\u00e1si \u00e9s m\u00e1s k\u00f6lts\u00e9geket,<br>\nmelyek Z ELEKTRONIKA oldal\u00e1n mer\u00fclnek fel ezzel kapcsolatban); \u00e9s<br>\n(c) jogosult visszak\u00f6vetelni \u00e9s Sz\u00e1ll\u00edt\u00f3 azonnal k\u00f6teles visszat\u00e9r\u00edteni az Sz\u00e1ll\u00edt\u00f3nak m\u00e1r kifizetett<br>\nel\u0151leget a le nem sz\u00e1ll\u00edtott vagy visszak\u00fcld\u00f6tt Term\u00e9kk\u00e9rt vagy a nem teljes\u00edtett<br>\nSzolg\u00e1ltat\u00e1sok\u00e9rt, \u00e9s\/vagy<br>\n(d) jogosult a Term\u00e9ket\/Szolg\u00e1ltat\u00e1st m\u00e1shol v\u00e1s\u00e1rolni. Ez esetben Sz\u00e1ll\u00edt\u00f3 azonnali \u00e9s teljes<br>\nk\u00e1rt\u00e9r\u00edt\u00e9sre k\u00f6teles, mely mag\u00e1ban foglalja, korl\u00e1toz\u00e1s n\u00e9lk\u00fcl valamennyi k\u00e1rt \u00e9s azt az<br>\n\u00e1rk\u00fcl\u00f6nb\u00f6zetet is, mely abb\u00f3l ad\u00f3dik, hogy az Term\u00e9ket m\u00e1shol \u00e9s nem a Megrendel\u00e9snek<br>\nmegfelel\u0151en kellett megv\u00e1s\u00e1rolni, \u00e9s\/vagy a nyeres\u00e9gben mutatkoz\u00f3 azon vesztes\u00e9get is, mely<br>\nabb\u00f3l ered, hogy nem Sz\u00e1ll\u00edt\u00f3t\u00f3l t\u00f6rt\u00e9nik a v\u00e1s\u00e1rl\u00e1s.<br>\n13.1.3. A 13.1.d. pontban le\u00edrt eset bek\u00f6vetkez\u00e9se eset\u00e9n a Z ELEKTRONIKA-nak jog\u00e1ban \u00e1ll \u2013 a Sz\u00e1ll\u00edt\u00f3<br>\nazonnali \u00e9rtes\u00edt\u00e9se mellett \u2013 a Sz\u00e1ll\u00edt\u00f3 \u00e1ltal sz\u00e1ll\u00edtott Term\u00e9k\/Szolg\u00e1ltat\u00e1s viszonylat\u00e1ban alternat\u00edv<br>\nsz\u00e1ll\u00edt\u00f3 keres\u00e9s\u00e9t megkezdeni. Ezen esetben a felmond\u00e1si id\u0151 id\u0151tartam\u00e1ra, illetve, ha a felmond\u00e1si<br>\nid\u0151 enn\u00e9l r\u00f6videbb, \u00fagy 6 h\u00f3napra a Sz\u00e1ll\u00edt\u00f3 \u00e1llja az esetleges \u00e1rk\u00fcl\u00f6nb\u00f6zetet \u00e9s mentes\u00edti a Z<br>\nELEKTRONIKA-t minden felmer\u00fcl\u0151 k\u00f6lts\u00e9g, k\u00e1r, teher \u00e9s akad\u00e1ly al\u00f3l a 13.2.d. pontnak megfelel\u0151en.<br>\n13.1.4. In the event of termination under Clause 13.1, the Supplier must immediately return Z ELEKTRONIKA\u2019s property free of charge, without any additional notice or request, in accordance with Clause 9.4.<br>\n13.2. Order Termination<br>\n13.2.1. Z ELEKTRONIKA reserves the right to terminate the Order, in whole or in part, at any time by issuing a written notice to the Supplier, specifying a termination period of its choosing. This right applies even if there is no fault on the Supplier\u2019s side and regardless of whether the title to the Product has already transferred or some Services have already been performed. If the Supplier breaches any obligation under these General Terms and Conditions or the Order, Z ELEKTRONIKA has the right to terminate the Order with immediate effect.<br>\n13.2.2. Upon termination, the Supplier must immediately or upon the expiration of the termination period specified in the Order:<br>\n\u2022 Cease performance under the Order.<br>\n\u2022 Instruct its suppliers and subcontractors to halt their work.<br>\n\u2022 Seek instructions regarding any ongoing performance.<br>\n\u2022 Take all reasonable steps to preserve Z ELEKTRONIKA\u2019s property in the Supplier\u2019s possession or control.<br>\n13.2.3. Felmond\u00e1s eset\u00e9n a Z ELEKTRONIKA egyetlen k\u00f6teless\u00e9ge Sz\u00e1ll\u00edt\u00f3 fel\u00e9, hogy fizesse meg<br>\n(a) a Megrendel\u00e9sben meghat\u00e1rozott v\u00e9tel\u00e1r azon r\u00e9sz\u00e9t, amely a Megrendel\u00e9s k\u00f6vetelm\u00e9nyeinek<br>\nmegfelel\u0151, Z ELEKTRONIKA r\u00e9sz\u00e9re sz\u00e1ll\u00edt\u00e1sra\/teljes\u00edt\u00e9sre ker\u00fclt, \u00e9s amely kiz\u00e1r\u00f3lag befejezett<br>\nTerm\u00e9kre \u00e9s elv\u00e9gzett Szolg\u00e1ltat\u00e1sra vonatkozik,<br>\n(b) a Megrendel\u00e9s k\u00f6vetelm\u00e9nyeinek megfelel\u0151, olyan befejezett Term\u00e9kre \u00e9s elv\u00e9gzett<br>\nSzolg\u00e1ltat\u00e1sra \u2013 amely Term\u00e9kek\/Szolg\u00e1ltat\u00e1sok nem ker\u00fcltek sz\u00e1ll\u00edt\u00e1sra\/ teljes\u00edt\u00e9sre a Z<br>\nELEKTRONIKA r\u00e9sz\u00e9re \u2013 vonatkoz\u00f3, a Megrendel\u00e9sben meghat\u00e1rozott v\u00e9tel\u00e1r \u00e9s azon<br>\nalacsonyabb elad\u00e1si \u00e1r k\u00fcl\u00f6nb\u00f6zet\u00e9t, amennyi\u00e9rt Sz\u00e1ll\u00edt\u00f3 ezen Term\u00e9keket\/Szolg\u00e1ltat\u00e1sokat<br>\nm\u00e1s r\u00e9sz\u00e9re \u00e9rt\u00e9kes\u00edtette. Az \u00e9rt\u00e9kes\u00edt\u00e9s sor\u00e1n a 6.5 pontban foglaltak Sz\u00e1ll\u00edt\u00f3t tov\u00e1bbra is<br>\nk\u00f6telezik.<br>\n(c) Sz\u00e1ll\u00edt\u00f3 t\u00e9nyleges, k\u00f6zvetlen, igazolt k\u00f6lts\u00e9geit, melyek a megsz\u00fcntet\u00e9s el\u0151tt mer\u00fcltek fel<br>\nb\u00e1rmely befejezetlen Term\u00e9k\/Szolg\u00e1ltat\u00e1s vonatkoz\u00e1s\u00e1ban.<br>\n13.2.4. Exercising the termination right under 13.2 shall in no way result in Z ELEKTRONIKA being liable for obligations exceeding those it would have had if the termination had not occurred.<br>\n13.2.5. In the event of termination under Clause 13.2, the Supplier must immediately return Z ELEKTRONIKA\u2019s property free of charge, without any additional notice or request, in accordance with Clause 9.4.<br>\n13.3. Effects of Withdrawal and Termination<br>\n13.3.1. A Megrendel\u00e9s megsz\u00fcntet\u00e9se \u2013 ha az a 13.1. \u00e9s 13.2. pontoknak megfelel\u0151en t\u00f6rt\u00e9nik \u2013 nem \u00e9rinti<br>\nh\u00e1tr\u00e1nyosan a Z ELEKTRONIKA azon jog\u00e1t vagy ig\u00e9ny\u00e9rv\u00e9nyes\u00edt\u00e9si lehet\u0151s\u00e9g\u00e9t, mely a Megrendel\u00e9s,<br>\nilletve jogszab\u00e1ly alapj\u00e1n megny\u00edlik vagy egy\u00e9bk\u00e9nt a Z ELEKTRONIKA rendelkez\u00e9s\u00e9re \u00e1ll a<br>\nmegsz\u00fcntet\u00e9s el\u0151tt, illetve a megsz\u00fcntet\u00e9skor.<br>\n13.3.2. Upon termination, the Supplier must immediately provide Z ELEKTRONIKA with the following upon request:<br>\n(a) All documents, drafts, drawings, working papers, notes, source materials, and any descriptions prepared in connection with the Order.<br>\n(b) All equipment, tools, machinery, parts, accessories, and Products (even if partially completed) as described in 13.2.3, if they were produced or manufactured for the Order.<br>\n13.3.3. Z ELEKTRONIKA shall not be liable for:<br>\n(a) Any performance by the Supplier after termination.<br>\n(b) Any costs that the Supplier, any supplier, or subcontractor could have reasonably avoided.<\/p>\n<h4><strong>14. Insolvency<\/strong><\/h4>\n<p class=\"translation-block\">If any of the following occur in relation to the Supplier under applicable law or Hungarian law, Z ELEKTRONIKA may terminate the Order without liability, in accordance with the conditions set out in Section 13:<br>\n(a) The Supplier ceases or appears to cease normal business operations based on the circumstances.<br>\n(b) The Supplier fails to fulfill its obligations or debts when they become due.<br>\n(c) Bankruptcy, insolvency, or liquidation proceedings are initiated or filed against or by the Supplier.<br>\n(d) A receiver is appointed or engaged over the Supplier, its assets, or its business, or any of its creditors take possession of its assets or business.<br>\n(e) An assignment has been made for the benefit of creditors, or the Supplier has entered into any other agreement with its creditors or their committee.<br>\n(f) The existence of any circumstances that entitle a court to appoint a receiver or order liquidation, or that allow a creditor to file such a request.<br>\n(g) Any lien, enforcement, seizure, or other attachment is executed against the Supplier\u2019s assets or is claimed in court.<\/p>\n<h4><strong>15. Publicity<\/strong><\/h4>\n<p class=\"translation-block\">Without Z ELEKTRONIKA\u2019s prior written consent, the Supplier may not advertise, publish, or announce in any way that it has received an Order from Z ELEKTRONIKA. The Supplier may not disclose any information related to the Order, nor may it use or authorize the use of Z ELEKTRONIKA\u2019s or any of its customers\u2019 names in advertisements, publications, or communications.<\/p>\n<h4><strong>16. Notices<\/strong><\/h4>\n<p class=\"translation-block\">16.1. The Supplier shall notify Z ELEKTRONIKA in writing at least six (6) months in advance, or at the earliest possible time, of any plans, events, or changes that would lead to the termination of the manufacturing or supply of Products ordered by Z ELEKTRONIKA. Similarly, the Supplier must notify Z ELEKTRONIKA in writing at least six (6) months in advance and as soon as possible of any plans, events, or changes that may result in the Supplier ceasing its operations.<\/p>\n<h4><strong>17. Assignment and Assumption of Obligations<\/strong><\/h4>\n<p class=\"translation-block\">17.1. The Supplier is not entitled to assign or transfer the Order, any part of it, or any rights or claims arising from it without Z ELEKTRONIKA\u2019s prior written consent. The Supplier is also not entitled to contract with a third party for the assumption of any obligations under the Order or make any legal declaration to that effect without Z ELEKTRONIKA\u2019s prior consent.<br>\n17.2. Z ELEKTRONIKA reserves the right to transfer or assign any of its rights or obligations under the Order to any party upon notification to the Supplier.<\/p>\n<h4><strong>18. Legal Compliance and Business Conduct<\/strong><\/h4>\n<p class=\"translation-block\">The Supplier undertakes and warrants that it will fully comply with all applicable laws while fulfilling its obligations under these General Terms and Conditions (including contractual terms), including laws related to (i) bribery or influence peddling and (ii) environmental, health, and occupational safety regulations. The Supplier also undertakes that its employees and subcontractors will (i) not use child or prison labor in the provision of Goods and Services and (ii) not attempt to bribe or influence Z ELEKTRONIKA\u2019s employees (including but not limited to gifts, commissions, free travel, or other cash or cash-equivalent incentives).<br>\nBy delivering the Products and Services, the Supplier confirms its compliance with these obligations. If the Products sold or delivered to Z ELEKTRONIKA contain hazardous chemicals, the Supplier must provide all relevant documentation (including proper labeling and an electronic version of the safety data sheet). The Products delivered to Z ELEKTRONIKA must not contain arsenic, asbestos, benzene, carbon tetrachloride, mercury, cadmium, or any other chemical substance listed in the Montreal Protocol (dated September 16, 1987) unless Z ELEKTRONIKA has expressly consented in writing.<br>\nIf Z ELEKTRONIKA determines that the Supplier has breached any warranties or guarantees set out in these General Terms and Conditions (including contractual terms), it is entitled to terminate the Order with immediate effect without any liability for damages or payments.<br>\nThe Supplier grants Z ELEKTRONIKA or its representative the right to inspect the location where the Supplier manufactures the Goods or provides the Services to verify (1) quality, warranties, and guarantees, and (2) compliance with the specifications provided by Z ELEKTRONIKA or its customer.<\/p>\n<h4><strong>19. Set-Off<\/strong><\/h4>\n<p class=\"translation-block\">Z ELEKTRONIKA is entitled to set off any overdue claims against the Supplier arising from any order, as well as any damages, warranty claims, or penalties, against the payment of the invoice issued under the Order.<\/p>\n<h4><strong>20. Governing Law and Jurisdiction<\/strong><\/h4>\n<p class=\"translation-block\">20.1. These General Terms and Conditions, as well as the Order, shall be interpreted in accordance with Hungarian law.<br>\n20.2. For matters not regulated in the General Terms and Conditions and the Order, the Hungarian Civil Code and applicable Hungarian legislation shall prevail.<br>\n20.3. If the Supplier and Z ELEKTRONIKA are subject to the jurisdiction of different states and the parties have not agreed otherwise, disputes arising from the Order shall be resolved by the Permanent Arbitration Court organized by the Hungarian Chamber of Commerce and Industry.<br>\n20.4. If both parties are subject to the jurisdiction of the Hungarian state, the Supplier acknowledges that, depending on the value of the dispute, the P\u00e9cs Municipal Court or the Baranya County Court shall have exclusive jurisdiction over any legal disputes between the parties.<\/p>\n<h4><strong>21. Supplier\u2019s Status<\/strong><\/h4>\n<p class=\"translation-block\">21.1. The Supplier remains independent as a contracting party, and no provision of the General Terms and Conditions or the Order shall be construed as creating an agency, employment, partnership, or joint venture relationship between Z ELEKTRONIKA and the Supplier. Neither party has the right to bind the other in any other matter or business.<br>\n21.2. The Supplier\u2019s general terms and conditions, if any, shall not apply to Z ELEKTRONIKA.<\/p>\n<h4><strong>22. Exclusivity \/ Preferential Treatment of the Supplier<\/strong><\/h4>\n<p class=\"translation-block\">22.1. No provision in these General Terms and Conditions, any Order, or any related document concerning the Products or Services ordered or orderable by Z ELEKTRONIKA shall be interpreted as granting the Supplier exclusivity or a right of first refusal. Z ELEKTRONIKA reserves the right to purchase or procure similar Products or Services from other suppliers at any time. Z ELEKTRONIKA has no obligation to notify the Supplier regarding such decisions.<\/p>\n<h4><strong>23. Hierarchy of Contractual Terms<\/strong><\/h4>\n<p class=\"translation-block\">23.1. These contractual terms fully apply to all agreements, contracts, orders, call-offs, and other terms related to the supply of products to Z ELEKTRONIKA. In case of any discrepancy between these General Terms and Conditions and separate agreements between the parties, the terms of the separate agreement shall prevail.<br>\n23.2. Unless otherwise agreed, the termination of these General Terms and Conditions automatically results in the termination of the related agreements, contracts, and terms specified in Section 5.1.<\/p>\n<h4><strong>24. Duration of the General Terms and Conditions<\/strong><\/h4>\n<p class=\"translation-block\">24.1. These terms are valid for an indefinite period from the date of their publication on the website. Z ELEKTRONIKA is entitled to modify these terms at any time, and the amended terms shall become effective for the Supplier upon their notification.<br>\n24.2. Z ELEKTRONIKA may terminate these General Terms and Conditions at any time with a 30-day notice period.<br>\n24.3. Either party is entitled to terminate these General Terms and Conditions with immediate effect if the other party breaches any material obligation under these terms or any related agreements and fails to remedy such breach within 15 days of receiving a written notice. Unless otherwise agreed, acceptance of these terms invalidates any previous negotiations, agreements, or contracts to the extent that they contradict these terms.
